Terms of Service

Please read these Terms of Service ("Terms") carefully before using the FarmingPal mobile application and website (collectively, the "Service") operated by FarmingPal ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service you represent and warrant that you meet this requirement. The Service is intended for agricultural professionals and businesses in Canada and the United States.

2. Use of the Service

FarmingPal grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or business agricultural purposes, subject to these Terms. You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Submit false, misleading, or fraudulent pricing data or listings
Scrape, crawl, or systematically extract data from the Service without written permission
Interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to any part of the Service or its related systems
Use the Service to harass, abuse, or harm other users

3. User Accounts

Certain features of the Service require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

4. User-Submitted Content

By submitting pricing data, listings, job postings, or any other content ("User Content") through the Service, you grant FarmingPal a worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, publish, and display that content in connection with the Service, including in anonymized or aggregated form. You represent and warrant that your User Content is accurate, does not infringe any third-party rights, and does not violate any applicable law.

Anonymous price submissions are contributed to a shared community dataset and cannot be retracted. You understand and accept this when submitting data without an account.

5. Pricing Data Accuracy

Pricing data displayed on the Service is crowdsourced from users and is provided for informational purposes only. FarmingPal does not verify the accuracy of submitted prices and makes no representations or warranties regarding their completeness, timeliness, or fitness for any particular purpose. You should independently verify any pricing information before making commercial decisions.

6. Third-Party Services

The Service may link to or integrate with third-party websites and services. These are governed by their own terms and privacy policies. FarmingPal is not responsible for the content or practices of any third-party service.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, and software — are owned by FarmingPal or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FARMINGPAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF $100 CAD OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless FarmingPal and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms are governed by the laws of the Province of Saskatchewan, Canada, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Saskatchewan, Canada.

13. Changes to These Terms

We may revise these Terms at any time. We will post the updated Terms on this page and update the effective date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
